Services

Saenz Global provides back office support services for roofing companies. Our services include, but are not limited to, lead management, estimation, contract preparation, permit application, material ordering, installation scheduling, insurance claim, insurance follow-up, invoicing, and quality control. Use of Services

Lawful Use: You agree to use our services only for lawful purposes and in accordance with these Terms.

Account Security: You are responsible for maintaining the confidentiality of any login credentials provided to you and for all activities that occur under your account.

Client Responsibilities

As a client, you are responsible for:
a) Providing accurate, complete, and timely information necessary for us to perform our services.
b) Ensuring you have the authority to enter into service agreements with us.
c) Making timely payments as per the agreed terms.
d) Complying with all applicable laws and regulations in your use of our services.

Confidentiality

We respect the confidentiality of our clients' information. We will not use or disclose your confidential information beyond what is necessary to perform our services or as required by law.

Intellectual Property

All intellectual property rights in the services and deliverables provided by Saenz Global, including but not limited to software, designs, and methodologies, remain the property of Saenz Global, except as expressly stated otherwise.

Proprietary Data and Standard Operating Procedures

Ownership: All Standard Operating Procedures (SOPs) developed by Saenz Global, including workflows, processes, methodologies, and best practices, whether created prior to or during client engagement, are the sole and exclusive property of Saenz Global.

‍Non-disclosure: Clients agree not to disclose, share, replicate, or utilize Saenz Global's proprietary SOPs outside the scope of services provided by Saenz Global.

‍Distinction from Client Information: While client-specific data remain the property of the client, the SOPs developed or utilized by Saenz Global in delivering services are distinct and separate from client information.

‍License: Saenz Global grants clients a limited, non-exclusive, non-transferable license to benefit from these SOPs solely within the context of services provided by Saenz Global.

‍Improvements: Any feedback provided by clients regarding the SOPs may be used by Saenz Global to improve its services, without obligation for compensation or attribution.

‍Enforcement: Saenz Global reserves the right to take all necessary legal action to protect its proprietary SOPs and intellectual property rights.

Limitation of Liability

Disclaimer: Saenz Global provides its services on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, as to the operation of our services or the information, content, or materials included therein.

‍Business Decisions: Saenz Global shall not be liable for any business decisions made by clients based on our services.

‍Liability Cap: To the fullest extent permitted by applicable law, Saenz Global's liability shall be limited to the fees paid for the services in question.

Indemnification

Both parties agree to indemnify, defend, and hold harmless the other party from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the services or your violation of these Terms.

Termination

We reserve the right to terminate or suspend access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Changes to Terms

Governing Law and Jurisdiction
